  4. SINGLE USER PRODUCTS

  6. THIS IS A LEGAL AGREEMENT BETWEEN YOU (EITHER AN INDIVIDUAL OR ENTITY) AND PARAMAGNUS DEVELOPMENTS, INC. BY USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.

GRANT OF LICENSE. This License Agreement permits you to use one copy of Paramagnus Development Inc's SpeedNet PRO (the "SOFTWARE"), which may include Electronic Documentation, on a single computer/workstation. The SOFTWARE is "in use" when it is loaded in temporary memory (RAM) or installed on permanent memory (e.g., hard disk, CD-ROM drive or other storage device) of that computer. You may not use the SOFTWARE on or over a Network or any other transfer device without each user having an original copy of the SOFTWARE and its documentation.

COPYRIGHT. All intellectual property rights in the SOFTWARE (including all animations, audio, images, maps, music, photographs, video and text incorporated into the SOFTWARE) are owned by Paramagnus Developments, Inc. and it's affiliates, suppliers, and licensors, and are protected by Canadian copyright laws and International treaties. Paramagnus Developments, Inc. and it's affiliates, suppliers and licensors retains all rights not expressly granted. You may not copy the printed materials accompanying the SOFTWARE. You may not loan, rent or lease the SOFTWARE. The SOFTWARE is licensed to you only, and may not be sublicensed, transferred, rented, lent, sold or otherwise disposed of to a third party without Paramagnus's prior written consent. You may not reverse engineer, decompile, or disassemble the SOFTWARE. You may not distribute printed copies of any user documentation provided in electronic format. The restrictions contained herein apply equally to hybrid CD-ROMS which may contain multiple versions of the SOFTWARE for use on different operating systems. Regardless of the type of media you receive, you may only use the portion appropriate for your computer/workstation.

LIMITED WARRANTY. THE SOFTWARE AND ANY ACCOMPANYING WRITTEN MATERIALS (INCLUDING INSTRUCTIONS FOR USE) ARE PROVIDED "AS IS". DUE TO THE COMPLICATED NATURE OF COMPUTER SYSTEMS AND SOFTWARE, PARAMAGNUS DEVELOPMENTS, INC. IT'S AFFILIATES, SUPPLIERS, AND LICENSORS CANNOT BE HELD RESPONSIBLE FOR ANY ERRORS OR BUGS THAT MAY APPEAR IN OUR SOFTWARE. WE TAKE GREAT PRIDE IN OUR PRODUCTS AND WE WILL MAKE EVERY ATTEMPT TO CORRECT ANY PROBLEMS IN THE PROGRAM THAT ARE BROUGHT TO OUR ATTENTION. IN NO EVENT WILL PARAMAGNUS DEVELOPMENTS, INC. AND AFFILIATES, SUPPLIERS, AND LICENSORS BE LIABLE FOR AND INDIRECT, SPECIAL, INCIDENTAL, ECONOMIC, COVER OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR THE INABILITY TO USE THIS SOFTWARE, USER DOCUMENTATION OR RELATED TECHNICAL SUPPORT, INCLUDING, WITHOUT LIMITATION, DAMAGES OR COSTS RELATING TO THE LOSS OF PROFITS, BUSINESS, GOODWILL, DATA OR COMPUTER PROGRAMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  16. Since you're about to install a Cydoor enabled application,
  17. you must read and accept the following -

  19. Cydoor Technologies Ltd. Software End User License Agreement
  20.  
  21. By clicking on the "Accept" button, you are consenting to be 
  22. bound by and are becoming a party to this agreement. If you 
  23. do not agree to all of the terms of this agreement, click 
  24. the "Do not accept" button.

  26. 1. Definitions:
  27.  
  28. (a) "Cydoor Software" means the software program covered by 
  29.     this Agreement, and all related updates supplied by 
  30.     Cydoor Technologies.
  31.  
  32. (b) "Cydoor Product" means the Cydoor Software and any 
  33.     related documentation, models and multimedia content 
  34.     (such as animation, sound and graphics), and all related 
  35.     updates supplied by Cydoor Technologies Ltd (follows:
  36.     "Cydoor").

  38. Upon acceptance of this agreement, Cydoor Technologies grants 
  39. to you a non-exclusive license to use the Software, provided 
  40. that you agree to the following:

  42. 2. License Grant:
  43.  
  44. You may install the Software on a hard disk or other storage 
  45. device; install and use the Software on a file server for use
  46. on a network for the purposes of (i) permanent installation 
  47. onto hard disks or other storage devices or (ii) use of the 
  48. Software over such network; and make backup copies of the 
  49. Software.
  50.  
  51. You may make and distribute unlimited copies of the Software, 
  52. excluding copies for commercial distribution, as long as each 
  53. copy that you make and/or distribute is subject to this 
  54. Agreement, and the same copyright and other proprietary 
  55. notices pertaining to this Software that appear in the 
  56. Software. If you download the Software from the Internet or 
  57. similar on-line source, you must include the Cydoor
  58. copyright notice for the Software with any on-line 
  59. distribution and on any media you distribute that includes 
  60. the Software.

  62. This License does not entitle you hard-copy documentation, 
  63. support or telephone assistance. Cydoor reserves the right 
  64. at any time not to release a commercial release of the 
  65. Software or, if released, to alter prices, features, 
  66. licensing terms, or other characteristics of the commercial 
  67. release.

  69. 3. Restrictions:
  70.  
  71. You may not permit other individuals to use the Software 
  72. except under the terms listed above.  You may not copy the 
  73. Software other than as specified above.  You agree not to 
  74. modify, adapt, translate, reverse engineer, decompile, 
  75. disassemble or otherwise attempt to discover the source code 
  76. of the Software (except and solely to the extent an 
  77. applicable statute expressly and specifically prohibits such 
  78. restrictions). You may not modify, rent, lease, resell for 
  79. profit, distribute or create derivative works based upon the 
  80. Cydoor Product or any part thereof.  You may not grant a 
  81. security interest in, or otherwise transfer rights to the 
  82. Software.  You may not remove any proprietary notices or 
  83. labels on the Software.

  85. 4. Disclaimer of Warranty:
  86.  
  87. The software is provided on an "as is" basis, without 
  88. warranty of any kind from Cydoor, express or implied, 
  89. including without limitation warranty of merchantability, 
  90. free of defects, fitness for a particular purpose and 
  91. non-infringement of third party rights. The entire risk as to 
  92. the quality and performance of the software is borne by you. 
  93. Should the software prove defective in any respect, you and 
  94. not Cydoor or its suppliers assume the entire cost of any 
  95. service and repair. 
  96.  
  97. This disclaimer of warranty constitutes an essential part of 
  98. the agreement. No use of the software is authorized hereunder 
  99. except under this disclaimer.
  100.  
  101. In no event will Cydoor be liable to you for consequential, 
  102. incidental, special or exemplary damages arising out of a 
  103. breach of this agreement or warranty or your use of the 
  104. software, including but not limited to lost profits or loss 
  105. of business, even if Cydoor has been apprised of the 
  106. likelihood of such damages occurring.

  108. Cydoor shall have no obligation to you with respect to any 
  109. claim of infringement based upon your use of the software in 
  110. combination, operation or otherwise with the data or 
  111. materials not supplied by Cydoor.
  112.  
  113. 5. Downloading Additional Software:
  114.  
  115. In the event that your computer lacks software necessary for 
  116. the Software to operate, a message will automatically be sent 
  117. by the Software to Cydoor that additional software is needed.
  118. Cydoor will then send you the additional software required 
  119. for operation of the Software.  By accepting this Agreement, 
  120. you agree that the Software and any additional software 
  121. needed will be downloaded into your computer.

  123. 6. Termination:
  124.  
  125. This Agreement and the license granted hereunder will 
  126. terminate automatically if you fail to comply with the 
  127. limitations described herein. Upon termination, you must 
  128. destroy all copies of the Software and Documentation.

  130. 7. Privacy Act:
  131.  
  132. This Agreement is subject to the Israeli Privacy Act of 1981.
  133. Cydoor shall neither attain nor use any of your identifying
  134. characteristics. In addition, Cydoor will not obtain any 
  135. personal information that could identify you including your
  136. name, picture or voice in order to match said personal 
  137. characteristics to the information in the registration form.
  138. Nevertheless, by accepting this software, you hereby 
  139. authorize Cydoor to use the information in your 
  140. registration form when selecting advertisements for you. 
  141. Cydoor will use the information in the registration form
  142. provided by you solely for the purpose of selecting which
  143. commercials may, in Cydoor opinion, interest you most.

  145. By downloading the Cydoor Product, you are confirming your
  146. acceptance of the Software and agreeing to be bound by the
  147. terms of this Agreement.

  149. 8. General:
  150.  
  151. This Agreement shall be governed by the laws of the State of
  152. Israel. This Agreement contains the complete agreement 
  153. between the parties with respect to the license granted 
  154. hereunder and supercedes all prior or contemporaneous 
  155. agreements or understandings, whether oral or written.
  156. This Agreement may be amended only by a writing signed by an 
  157. authorized officer of Cydoor.
  158.  
  159. This Agreement will not be governed by the United Nations
  160. Convention on Contracts for the International Sale of Goods,
  161. the application of which is expressly excluded.  You agree
  162. that the Software will not be shipped, transferred or
  163. exported into any country or used in any manner, directly or
  164. indirectly, prohibited by the United States Export 
  165. Administration Act or any other export laws, restrictions or
  166. regulations.
  167.  
  168. If any provision of this Agreement is held to be void and 
  169. unenforceable, it will not affect the validity of the balance
  170. of the Agreement.  Such provision shall be reformed only to
  171. the extent necessary to make it enforceable. This Agreement 
  172. shall be governed by Israeli law, excluding conflict of law 
  173. provisions (except to the extent applicable law, if any, 
  174. provides otherwise).
